Terms of Service

1. Acceptance of Terms

By creating an account or using Reacta ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users including Principal Investigators, students, postdocs, and any other members of a lab.

2. Description of Service

Reacta is a cloud-based laboratory management platform that provides tools for chemical inventory tracking, reaction planning and stoichiometry, NMR prediction, structure drawing, project management, and team collaboration.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account at hello@reacta.app.

You must provide accurate information when creating an account. Accounts are for individual use — you may not share your login credentials with others. Each member of your lab should create their own account.

We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscriptions and Billing

Certain features of Reacta require a paid subscription. Subscriptions are billed monthly and renew automatically unless cancelled.

Free trial: New accounts receive a 14-day free trial with full access. No credit card is required to start a trial. After the trial ends, a subscription is required to continue accessing the Service.

Lab members: Students and postdocs who join a lab owned by a PI with an active subscription are covered under that PI's plan and do not need their own subscription.

Cancellation: You may cancel your subscription at any time through the billing portal in your profile. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

Plan limits: Each plan includes a maximum number of labs. If you downgrade to a plan with fewer labs than you currently own, existing labs are preserved but you will not be able to create new labs until you are within your plan's limit.

All payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.

5. Your Data

You retain full ownership of all data you enter into Reacta — chemical inventories, reactions, references, messages, and any other content. We claim no intellectual property rights over your data.

You grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.

If you delete your account, all your data is permanently deleted from our systems. This action is irreversible.

6. Acceptable Use

You agree not to use Reacta to:

• Store or share information related to illegal substances or activities
• Attempt to gain unauthorised access to other users' data
• Reverse engineer, scrape, or abuse the Service in a way that degrades performance for others
• Upload malicious code or content
• Impersonate another person or organisation

7. NMR Predictions and Scientific Accuracy

Reacta provides predicted NMR spectra and chemical data as a convenience tool. These predictions are computationally generated and may not be accurate. They are intended as an aid to research planning, not as a substitute for experimental data or professional scientific judgment.

We make no warranty regarding the accuracy, completeness, or fitness for purpose of any scientific data or predictions provided by the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the fullest extent permitted by law, Reacta and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of research arising from your use of the Service.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice in the dashboard at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated terms.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation before resorting to formal legal proceedings.
